American Airlines Inc. and US Airways Group Inc. reportedly plan to seek an extension to the deadline for completing their proposed $11 billion merger because of possible delays caused by a government lawsuit.
American’s parent, AMR Corp., and US Airways told AMR creditors Tuesday that they plan to ask their boards of directors to extend the Dec. 17 merger termination date, according to The Wall Street Journal, which cited two people familiar with the matter. A new potential termination date was not available.
The two airlines would not confirm the report. “We are not going to comment on or disclose the substance of any of our conversations during these meetings,” American and US Airways said in a joint statement, referring to meetings with AMR’s creditors committee.
In another joint statement, the airlines said they’re working closely with the creditors committee on “all key matters,” including an antitrust lawsuit filed by the U.S. Department of Justice. “We remain confident in our case and are eager to get to court in order to make the case for the new American Airlines … as soon as possible,” they said.
Fort Worth-based American and Tempe, Ariz.-based US Airways agreed to merge in February.
The DOJ filed suit on Aug. 13, arguing that the merger is anti-competitive and would hurt consumers. A trial is scheduled for Nov. 25 in U.S. District Court in Washington, D.C.
In a separate lawsuit, two San Francisco lawyers allege similar antitrust issues with the merger as the DOJ suit.
In court filings Tuesday, American and US Airways staunchly defended their merger, which would create the world’s largest airline. They said that it does not violate antitrust laws and that the government’s challenge showed a lack of knowledge about the airline
