CASE 10: SAN MIGUEL CORPORATION AND A. SORIANO CORPORATION

I. PROBLEM

How do San Miguel Corporation and A. Soriano Corporation will meet their satisfied ability to respond to the rapid changes in the environment around them if they will not upgrade their planning capability?

II. AREAS OF CONSIDERATION

1. Difficult to achieve the objective of the company.

2. Difficult to foresee the opportunity and constraints of the future.

3. Difficult to introduce new products in the market.

III. ALTERNATIVE COURSES OF ACTION

1. Develop their planning process to create a high level of competition.

Advantages:

a. The two companies would be more competitive.

b. This will help then to capture their specific industries.

Disadvantage:

a. Collection and analysis of different information involves a lot of expense in terms of time, effort and money.

2. Expand their research to cope with the future.

Advantages:

a. It will help the company to forecast what adjustments they should do in the future.

b. It will minimize their mistakes.

Disadvantage:

a. It is a time consuming process because it involves collection of information.

3. Develop the promotional strategy of the two companies.

Advantages:

a. It will help them to promote the company’s products.

b. Increase profitability.

Disadvantage:

a. The two companies must set high budget for the promotion.

IV. RECOMMENDATION

Their company should expand their research to cope up with the changes in the environment.

    Firstly, Alejandro’s team members did not view him as an authentic leader. They had no respect for or confidence in him probably because they sensed his self doubt so they disregarded his plan and did not pay attention. Secondly, Dan answered his phone and left for his weekly tennis game which everyone seemed to know about except Alejandro. As soon as the other team members saw that Dan wasn’t interested enough to participate in the meeting, they also lost all interest and followed through with the disrespect because they viewed Alejandro’s plan as just another idea so they began to come up with a plan of their own. Alejandro’s first mistake was that he had no confidence in himself. For example, when Dan initially assigns him with the task, he began to doubt himself and questions the reasons why Dan chose him rather than the “old hands” with more experience. This shows that he wasn’t aware of his strengths and weaknesses so he was unable to present his plan effectively and confidently.     Schmidt, a South Carolina citizen, sued Wachovia Bank in a South Carolina state court for fraudulently inducing him to participate in an illegal tax shelter. Wachovia is a national bank with its main office in North Carolina and branch offices in several other states, including South Carolina. Under federal diversity jurisdiction, federal courts can hear cases in which the parties are citizens of different states. Wachovia filed a petition in Federal District Court, seeking to compel arbitration of the dispute. After the petition was denied on the merits, Wachovia appealed to the Fourth Circuit Court of Appeals, which dismissed the case for lack of jurisdiction. Under 28 U.S.C. Section 1348, national banks are "deemed citizens of the States in which they are respectively located." The Circuit Court interpreted "located" to mean any state where the bank has a branch location. Noting that the statute uses both "located" and "established" to refer to the presence of a bank, the Circuit Court determined that a national bank is "established" in the state where its main office is located, and "located" in every state where it has a branch office. Therefore, under the Fourth Circuit's reasoning, Wachovia was "located" in, and a citizen of, South Carolina (as well as several other states with branch offices). Since both parties, Schmidt and Wachovia, had South Carolina citizenship, the Circuit Court dismissed the case for lack of diversity jurisdiction.…
