Reading the case analysis, there are many issues that I feel are concerning this merger and I feel that Newell should not process with this merger. First of all, this is a tough and alarming challenge to Newell's capacity to integrate and strengthen acquisitions. How would Newell bring Rubbermaid into the newellization process since they have completely different products? Another question that comes to mind is how does Newell coordinate all its divisions and what changes will it have to make to create synergy with Rubbermaid? Does the newellization process fit for Rubbermaid? Lastly, are the risks acceptable for Newell to merge with Rubbermaid? Newell needs a very well thought out business plan and has to answer these questions before they proceed.…

The “newellization” of Rubbermaid is also made more difficult by the sheer size of the company. The majority of Newell’s past acquisitions have been relatively smaller companies that they have successful applied the newellization process and generated great synergy. In the case of Rubbermaid, it is a company that is worth billions; therefore, Newell may not have the necessary experience needed to integrate such a massive company. Even if “newellization” is possible, it may take a long time because it is difficult to suddenly change the operations of a well-established company, like…

The main effect were tremendous economies of scale and to a smaller amount economies of scope. Targeted firms all showed a big market share and helped ensuring Newell’s significant presence in the retailer’s shelf space (showing a portfolio on several price-levels), or at least improved capacity utilization while reaping the benefits of globalization. As a matter of fact, Newell’s new assets led to horizontal as well as vertical diversification. Their motto of “Build on what we do best” was integrated by leveraging core competencies, which became known as “Newellization”. After an acquisition, the companies were put through a process of streamlining, focusing on operational efficiency and profitability. When looking to exhibits 11 and 13 of the case, it is likely that Calphalon and Rubbermaid can fit this picture: although they increased net sales between 1992 and 1997, their costs also increased with result that their net income did not change a lot. By making these companies more efficient, Newell can contribute to increasing the net income they generate.…

When companies combine/merge the whole objective is to gain new opportunities, gain market share, grow the business, to become more innovative and to improve product offerings, utilizing/sharing the existing resources and data. From the case study the company has already been successful in proving that their merger was a win, win. Already they have leveraged off each other by gaining the Rolls-Royce account which would fall under a combined strength category, they were able to provide together more services to Rolls-Royce that individually they previously could not offer. Why these opportunities, and why did I decide this, because each company already possesses and provides services and strengths in individual fields, and has a history of established relationships within given market segments. It is obvious that by combining the two companies, both companies have deepened and widened their new customer opportunity base. They can now unite and build off these pre existing strengths and relationships with more to offer and become the one stop shopping entity that they strives to be. They now also have the opportunity to engage and play in each others sandboxes to say. Not only can they leverage off each other’s existing customers they now have the opportunity to gain new and, competitor’s customers, based on the fact that they now have more to offer then their competition in both arenas.…

    Sears vs Walmart

Wal-Mart with just a few points below the ROE from Sears when analyzed seems more solid and stable. Lets remember that ROE comes from the profit margin, asset turn over and financial leverage. The combination of the performance of this 3 determines the ROE for the company. Now keeping this in mind we have Wal-Mart who accounts with a high turn over assets with 5.4 for 1997 and 2.8 for 1998, while Sears shows a 2.1 and 1.1 for 1996 and 1997 respectively, therefore we can translate this into a better inventory turn over which at the end of the day this means more sales, therefore more income. The turn over assets from Sears is not really good and this is understandable, because the products commercialized by Sears have higher cost, therefore this will not be products accessible for everyone. From just this perspective it seems that Wal-Mart has done a better job than Sears delivering its products to the consumer. therefore Wal-Mart seems to be going ahead.…
