Inleiding

Electronicadivisie Bell NL BV zal door Aelec International worden overgenomen van de huidige eigenaar, BellC Electronics. De feitelijke overname is bepaald op 1 mei nadat er in januari al een intentieverklaring is opgesteld.

Naar aanleiding van deze overname is er een adviesnotitie opgesteld. Deze adviesnotitie heeft als doel het management van Aelec International te adviseren op het gebied van due diligence onderzoek. In deze notitie kan men lezen wat het nut en de noodzaak van een dergelijk onderzoek is. Hier wordt duidelijk welke rol een due diligence onderzoek kan spelen bij een overname. Verder kan het management van Aelec International lezen welke soorten due diligence onderzoek mogelijk zijn. Aan het eind van deze adviesnotitie kan men lezen welk advies gegeven wordt op basis van de informatie die is aangeboden.

Na het lezen van deze adviesnotitie heeft u antwoorden op de volgende vragen:

Is het raadzaam voor Aelec International om een due diligence onderzoek uit te voeren bij Bell NL BV? a. Wat is het nut en de noodzaak van due diligence onderzoek? b. Welke bedrijfsaspecten rond de overname van Bell NL BV dienen in kaart te worden gebracht?
