FRANCHISE AGREEMENT

This Franchise Agreement is entered into as of the ____ day of ______________, _______, by and between Lugaw Queen, the Franchisor, with its principal place of business located at Marfori Subd. Road 4, Brgy. Silangan, Calauan, Laguna, and ___________________________, the Franchisee, with its principal place of business located at_________________________.

RECITALS

WHEREAS, Lugaw Queen has developed and owns the System; WHEREAS, Lugaw Queen intends to identify the system with the Proprietary Marks; WHEREAS, Lugaw Queen continues to develop, use and control the use of the Proprietary Marks to identify the source of services and products marketed under the System and to represent the System's high standards; WHEREAS, Lugaw Queen and Franchisee (or Developer, as defined therein) have entered into the Development Agreement.

Introduction and Background
Lugaw Queen envision to be the leading fast food chain in the country offering innovative, quality food products as well as maintaining clean, affordable yet satisfying dining experience which everybody can enjoy. As Lugaw Queen open for franchise, they extend their service to all interested franchisees willing to be a part of their growth.

Lugaw Queen was first started as a small take-out counter in San Pablo City on November of 2007 offering just plain lugaw. It was owned and managed by Sherwin and Beverly Aquino. With only P1,100 starting capital, the couple took all the risk to put up a business which they can call their own. Considering the affordable ingredients of lugaw and the passion for cooking of Mrs. Aquino, ordinary lugaw was transformed into a delicious food experience.

In three months, Lugaw Queen opened two (2) more branches in San Pablo City and just before the year ended, it grew to six branches. With a high demand for its products, Lugaw Queen extended its network within Laguna, Lucena in Quezon and Metro Manila. They
