AC504: Ethical Issues in Business and Accounting
July 7, 2013
Amy Muscarello

Our new company is a family owned distribution company called TAM’s. The family has one corporate office in Palatine, Illinois. They have ten warehouses in Ohio (Cincinnati, Dayton, and Cleveland), Wisconsin (Madison and Chippewa Falls), Illinois (Bloomington and Palatine), Minnesota (Eagan), Indiana (Indianapolis), and Michigan (Detroit). The father and son are the CEO and CFO of the company. They are the only two family members on the board of directors. The other three board members are non-family members. TAM’s hired an independent accounting firm to help establish an ethics program. The accounting firm handles all the companies’ financials and independent audits. Although not required to be in regulation, the company requires a member of the board of directors, in addition to the CEO and CFO to certify the financial statements, procedures, and policies. All financial statements, procedures, and policies are available to all employees, vendors, and customers. TAM’s owners want as much visibility and trust from employees, vendors, and customers. Although TAM’s is not a publicly shared company, the board of directors follows several areas of Sarbanes-Oxley regarding financial statements and code of ethics. The goal of the ethics program to be implemented is to be in compliance with laws and regulations and value based. There are five program orientations to choose from. * Compliance based * Integrity or values based * Satisfaction of external stakeholders * Protect top management from blame * Combination of any of the above

TAM’s board of directors felt strongly about being in compliance with laws and regulations however they wanted values and integrity to be incorporated into the plan. They chose to have a combination of the two program orientations. To have an effective compliance and

I and two other individuals have agreed to start a business that will provide management consulting services to nonprofit organizations. Because of the increased scrutiny on actions of corporations and those who act on behalf of organizations, we have determined that it would be essential to have our ethics program developed before we start offering our services. A business as a moral agent must prove that it has an effective ethics program to protect employees, the corporation, and businesses that the company will serve. It is also important to have an ethics program to support the ethical values of our corporation and to make it clear to employees what is acceptable behavior, and to make clear what policies and standards are to be followed in our consulting company. It has been proven that businesses who take these steps to prevent misconduct by making the code of ethics clear for their company have had great success with no reputation damage for a period of at least five years for some (Ferrell, Fraedrich, & Ferrell, 2008).…

Has life ever thrown something at you that you weren’t exactly ready for, and you didn’t know yourself well enough to confront the problem head on? This was the case of Tim O’Brien in his story, “On the Rainy River”. O’Brien narrators a fictional, yet very realist story, in which he is his own main character. It was 1968 and O’Brien was 21, and he, along with many other men his age were being drafted into Vietnam War, a war that O’Brien did not personally agree with. In the story, he finds himself stuck in a conflict of whether he should or should not go to war after being drafted. O’Brien had no prior fighting experience and he could not imagine…
