GIFT DEED

This Deed of Gift is executed today the 1st day of February, 2005 by Sh. Mahendra Kumar Jain, aged 62, years, s/o, Late Sh. Padam Chand Jain, residing at 119, Jaipur house, Agra (here-in after called the ‘Donor’) in favour of the donee mentioned hereafter.

1. Where as the donor is absolutely entitled to Rs.100000/- (Rs.One Lac only) of her own free will, and accord, and while in a sound state of mind, is desirous of making a gift of aforesaid Rs.100000/- (Rs.One Lac only) to Mayank jain (Huf) and residing with it at 119 Jaipur House, Agra.

And whereas for the purpose of giving effects to such desire the donor has delivered the Account payee Cheque no.039766 dated 01/02/2005 for amount of Rs.100000/- (Rs.One Lac only) drawn on ICICI. Bank, Sanjay Place, Agra, favoring to Mayank jain (Huf) the Donee free from encumbrances to hold the same absolutely for ever.

That no other persons shall have any right over the above-mentioned assets during the life time of the Donor or thereafter.

The Donee shall now stand possessed of the said Rs.100000/- (Rs.One Lac only) and it may be utilized by the Donee in whatsoever manner and for whatsoever purpose or purposes considered essential.

This gift shall be an irrevocable gift. Which is accepted by the Donee.

In witness whereof the parties hereto have hereunto set their respective hands this day, month and year first hereinabove written.
