AGREEMENT

THIS AGREEMENT IS MADE AT MUMBAI ON THE 1ST OF MAY, 2013,
BETWEEN
M/S. PIYO-G FOOD PRODUCTS, HAVING ITS OFFICE AT GAT NO. 271/1, AT VILLAGE YEWATI, TAL SHRIGONDA, DIST AHMEDNAGAR. M.S., HEREINAFTER CALLED AS “PARTY NO.1” (THE TERM INCLUDES THEIR HEIRS AND/OR SUCCESSORS-IN-INTEREST)
AND
M/S. MOSKOW MARKETING, HAVING ITS OFFICE AT SHOP NO.13, TOLARAM SMRUTI CO-OP. HSG. SOCIETY, CHEMBUR, MUMBAI 400074, HEREINAFTER CALLED “PARTY NO.2” (THE TERM INCLUDES THEIR HEIRS AND/OR SUCCESSORS-IN-INTEREST)

FOR THE PURPOSE OF SELLING “PRODUCTS” (THE TERM INCLUDES * READY-TO-SERVE MANGO DRINK & OTHER VARIANTS MANUFACTURED BY PARTY NO.1)

WHEREAS:
APPOINTMENT AS “PRODUCTION ON CONTRACT BASIS” PARTY NO.1 APPOINTS PARTY NO.2 AS THEIR SALES ASSOCIATES/DISTRIBUTORS FOR THE TERRITORY OF ALL INDIA LEVEL FOR THE BRAND NAME “MANGO TANGO” OWNED BY PARTY NO.2.

PRODUCT ITEM RANGE: 200ML, 250ML, 500ML:
PARTY NO.2 OWNS THE BRAND NAME “MANGO TANGO” AND ITS PACKAGING & THE SAME TO BE COVERED DURING THE DURATION OF THIS AGREEMENT.

VALIDITY: THIS AGREEMENT IS VALID FOR A PERIOD OF 5 YEARS FROM THE DATE OF THIS AGREEMENT AND MAY BE FURTHER RENEWED MUTUALLY FOR FURTHER PERIOD AS AGREED.

TERMS & CONDITIONS OF SALES: “PARTY NO.2” HAS AGREED TO WORK ON FOLLOWING TERMS & CONDITIONS OF SALE AS “SALES ASSOCIATES/DISTRIBUTORS” OF PARTY NO. 1.

PRICING & PAYMENT TERMS: THE SELLING PRICE OF READY-TO-SERVE MANGO DRINK (FOR EITHER BRAND NAMES) ON EX-FACTORY BASIS HAS BEEN AGREED UPON BY BOTH PARTIES AS FOLLOWS:

Rs. 150.00 per box of 24 bottles each
250 ML
Rs. 180.00 per box of 24 bottles each
500 ML
Rs. 325.00 per box of 12 bottles each

Taxes : Add extra VAT @ 5% or CST @2% against form ‘C’

The above rates may be revised (increased or decreased) based on volume of sales achieved, depreciation/appreciation in the prices of raw materials, packaging items, transportation charges, miscellaneous and above
