The provisions of the Sarbanes-Oxley Act have limited a public company’s choice of auditors by placing a strong emphasis on maintaining independence between the auditor and the client. Before the Sarbanes-Oxley Act, accounting firms could provide auditing services as well as other services including consulting services to companies and still, in the eyes of the law, maintain independence. After some big scandals came out in the early 2000’s, including the Enron scandal, there was a strong push for more restrictions on the nonaudit services that auditors could provide to clients. The Sarbanes-Oxley Act put into place restrictions on these services and created the PCAOB which provided oversight on auditing services and has the job of making sure that independence is maintained in all cases. This is a change from the past where it was the auditors responsibility to make sure that independence is maintained between themselves and the client.…

First of all Pinto should plan to take time before meeting each man to unbundle the problems that he wants to address. In this case, Pinto should look at the content (what just happened), patterns (what is happening over time) and relationship (how is it affecting his relationship with Lovas and Bennett?) Pinto needs to ask himself, “What are the real consequences of the tension between Lovas and Bennett?” What are the consequences to the team, to the project, to the company? Thinking through the consequences will help clarify what he should discuss. After establishing a list of the things that he sees as issues, he should prioritize them. This will help Pinto know what is most important to address. Finally Pinto should consider the true intentions of both Lovas and Bennett. Why do they constantly put down each other’s ideas? Why do they quarrel and fight at the expense of the project? These presumed intentions will help Pinto understand how to best confront Bennett and Lovas later on.…

One May afternoon, while sitting in his cubicle at WorldCom Inc. headquarters located in Clinton, Mississippi, Gene Morse was stunned to find an accounting entry for $500 million in expenses, which was not accounted for with any invoices. He immediately reported this entry to his boss, vice president of internal audit Cynthia Cooper (Pulliam & Solomon, 2002). Little did they know at the time that this discovery would begin a journey for Cooper and her team that would challenge their core values, ethical beliefs, moral principles, and strain their physical strengths and personal relationships. They would eventually unearth a $3.8 billion dollar fraud. Cooper was faced with the ethical dilemma of reporting what she had found which she knew would devastate the company and its stakeholders, versus ignoring the problem, and taking no action. By June of 2002, Cooper had made her choice. On June 25, 2002, Wall Street was shocked by the announcement from WorldCom “that it had inflated profits by $3.8 billion over the previous five quarters” (Pulliam & Solomon, 2002, p A1). Thus began the downward spiral which would bring an end to an organization that once boasted a reputation of being a Fortune 500 company. Careers and lives would be ruined. Cynthia Cooper’s life would be changed forever.…
