ARTICLES OF INCORPORATION

OF

BLUE ARRAYS CORPORATION

KNOW ALL MEN BY THESE PRESENTS:

That we, all of legal age, citizens and residents of the Republic of the Philippines, have this day voluntarily associated ourselves together for the purpose of forming a corporation under the laws of the Philippines.

AND WE HEREBY CERTIFY:

FIRST: That the name of the said corporation shall be: “Blue Arrays Corporation”;

SECOND: That the purposes for which said corporation is formed are:

1. To earn customer respect and loyalty by consistently providing the highest quality and value.

2. To achieve sufficient profit to finance growth, create value for our shareholders and achieve our corporate objectives.

3. To recognize and seize opportunities for growth that builds upon our strengths and competencies.

4. To lead in the marketplace by developing and delivering useful and innovative products, services and solutions.

5. To demonstrate our commitment to employees by promoting and rewarding based on performance and by creating a work environment that reflects our values.

B. That the corporation shall have all the express powers of a corporation as provided for under section 36 of the Corporation Code of the Philippines.

THIRD. That the place where the principal office of the corporation is to be established is at Ortigas, Quezon City, Philippines;

FOURTH. That the term of for which the corporation is to exist is FIFTY (50) years from and after the date of issuance of the certificate of incorporation;

FIFTH. That the names, nationalities, and residences of the incorporators are as follows:
