Confidentiality/ Non- disclosure agreement
Consultant Non- disclosure agreement
THIS AGREEMENT is made the 28th day of December, 2012
BETWEEN:
1. Live2Work Co., Ltd. (the ‘Client’); and
2. Professor Yolanda Sarason of Colorado State University (the ‘Consultant’).
NOW IT IS HEREBY AGREED as follows:
That to induce the Client to retain the Consultant as an outside consultant and to furnish the
Consultant with certain information that is proprietary and confidential, the Consultant hereby warrants, represents, covenants, and agrees as follows:
1. Engagement. The Consultant, in the course of engagement by the Client, may or will have access to or learn certain information belonging to the Client that is proprietary and confidential (Confidential Information).
2. Definition of Confidential Information. Confidential Information as used throughout this agreement means any secret or proprietary information relating directly to the
Client\ 's business and that of the Client\ 's affiliated companies and subsidiaries, including, but not limited to, products, customer lists, pricing policies, employment records and policies, operational methods, marketing plans and strategies, product development techniques or plans, business acquisition plans, new personnel acquisition plans, methods of manufacture, technical processes, designs and design projects, inventions and research programs, trade ‘know-how,’ trade secrets, specific software, algorithms, computer processing systems, object and source codes, user manuals, systems documentation, and other business affairs of the Client and its affiliated companies and subsidiaries.
3. Non-disclosure. The Consultant agrees to keep strictly confidential all Confidential
Information and will not, without the Client\ 's express written authorisation, signed by one of the Client\ 's authorised officers, use, sell, market, or disclose any Confi dential
Information to any third person, firm,

Many banking institutions currently house several banking applications depending on the type of products, each application houses different products. Not only will the customer have consumer and commercial products but the products will also vary. Most banking systems house personal and business accounts separately and customers have to log into different systems in order to access the information. This proposal is for one specialized application to house both consumer and business accounts for customers and for employees and customers to use one system as well with employees allowed different access. No longer do consumers or businessmen have to shake to complete a deal or a sale, but merely click down on the mouse and the numbers change. A division of the Sabre Holdings Company of Fort Worth, Texas and Preview Travel, an exclusive partner of America Online, announced they were both merging to form one of the nations largest internet commerce sites with an expected revenue of nearly one billion dollars (Jones C-7).
