World Wide Telecommunications (WWT) entered into a joint venture with an Indian company, Subcontinental Solutions, Pvt. Ltd. (SSS), to form Subcontinental Telecommunications Solutions, Pvt. Ltd. (the JV). The issues that have surfaced since the JV was finalized, such as equipment problems and sexual harassment, are results of a dysfunctional partnership. The main problem for WWT is that the joint venture agreement is structured inefficiently with inadequate due diligence. This has led to a lack of communication and poor decision-making by the JV. The structure of the JV agreement needs to be clear and detailed in order to create a functional environment for the partnership to take advantage of the opportunities presented…

Problem Analysis. Keeping the above data in mind let us survey the prevalent conditions of the contractual environment of this Telequip-Taicom assignment. Firstly, as short term as the assignment was, the terms and conditions were not taken seriously by either company. There was not adequate planning with regards to the compensation that was to be borne by both the companies on behalf of their employees. There wasn’t much anticipation with regards to the work environment and the points of barriers that the employees and consequently the project would be faced with. The companies arrived on consensus on the factors regarding the time-factor that would be required to set-up the new system and get it going, but the basic skeletal framework was missing. Furthermore, choosing a person who despite being brilliant at his work but quite close-fed with regards to his background was not a very wise decision. Secondly, dividing the…

Before this contract was signed, Vinamilk Joint-Stock Company was the first unit that had successfully deployed the ERP Oracle EBS and SAP CRM, BI System in VietNam. It brought profits back to the company but there were still some gaps in the system – which made the steps in the process run incoherently. Vinamilk had its own website that was stopped at the limit of advertising the photos and products of the company but could not approach the e-commerce and the online commercial transaction. Another objective fact was about the financial resources of the enterprise. Because of the limited budget, the company was prevented from investing more in the information technology’s applications. So as to solve these problems, Vinamilk has updated the new ERP software coming under a contract with Viettel Telecommunications Corporation. With the new software, all data of…
