Before Chou drafted the agreement, a BTT manager sent Chou an e-mail with the subject line “Strat Deal” that repeated the key terms of the distribution agreement including price, time frames, and obligations of both parties. BTT and Chou must exhibit mutual assent to determine when a contract was reached. The contract is determined to be valid if shown that an offer was made (by BTT), and there was acceptance by Chou. Initially, BTT and Chou entered a 90-day agreement for exclusive negotiation rights to Strat in exchange for $25,000. Once payment is accepted, Chou’s right to solicit distribution from an outside party is restricted. This shows mutual assent as the promisee, Chou, gave up a legal right and the promisor, BTT, made its promised based on a mutual exchange.…

In this case study, we are looking into what constitutes a contract and when a person is obligated to honor a contract. In this scenario Carrie offered to sell a set of legal encyclopedias to Antonio for $300.00. Antonio said that he would think about her offer and let her know his decision the next day. Norvel, who had overheard the conversation between Carrie and Antonio, said to Carrie, "I accept your offer," and Carrie gave Norvel the books. The next day, Antonio, who had no idea that Carrie had already sold the books to Norvel, told Carrie that he accepted her offer. We need to determine whether or not Carrie is obligated to sell her encyclopedias to Norvel and whether or not she is breaching a contract with Antonio.…

The Cleavers receive the Nelsons’ proposal from October 5th and respond via email asking a question regarding the offer for $525,000 with a 15% down payment ($78,500) due upon acceptance of the Nelsons’ proposal. The Cleavers ask the Nelsons how firm they are on the 15% ($78,500) down payment and ask the Nelsons if they would be willing to lower it down to 10% ($52,500). What the Cleavers’ email legally does is put two offers between the parties. An inquiry and alternate offer does not get rid of the original offer, but places an alternate offer alongside of the original one. In other words, the Cleavers are not rejecting the Nelsons’ offer but are rather proposing a new offer without rejecting the last one. This effectively puts two offers between the Nelsons and the Cleavers. Now the Nelsons can choose to accept either one of these offers which would clearly make the remaining offer void. The Nelsons receive the email the same day it was sent and respond by mailing a letter to the Cleavers revoking the offer they made in the October 5th letter for $525,000 with a 15% down payment ($78,500) due upon acceptance…

A contract is a promise that can be enforced by law. In order for a contract to be enforceable it must have the necessary elements to form a contract. The elements of a contract are an offer and acceptance, consideration, capacity, and legality. Three days before the 90-day expiration period was up, BTT and Chou reached an oral agreement. Immediately after the oral agreement, the BTT manager sent Chou and e-mail with the subject line “Strat Deal” in which he repeated the terms of the distribution agreement. The e-mail included price, time frames, and the obligations of both parties. Even though Chou made an agreement with BTT under the exclusive negotiation agreement in which it stated there would be no distribution contract unless it was in writing, the e-mail is considered “in writing” under the mailbox rule. All the elements of a contract were met in the e-mail, offer, acceptance, consideration, capacity, and legality. Even though Chou failed to follow up with a distribution contract in writing for both parties to sign, he did receive the terms in writing from the BTT manager. This validates that there was an actual contract between both…
