Warner Bros Entertainment
1.0 Introduction

The primary Warner Bros (WB) ventures are the WB studios which were co-founded in Hollywood, California. The Filmed Entertainment segment produces and distributes theatrical motion pictures, television shows, and animation and other programming, as well as distributes home video products, and licenses rights to its feature films, television programming, and characters (Linked in, 2010). It was founded by four brothers who are Harry, Albert, Sam and Jack Warner in 1923. They begin in an exhibition business during 1903 subsequent to obtain a projector through which they showed movies within the removal city of Ohio and Pennsylvania. Rin Tin Tin which is a German shepherd dog is the one main reason and also the first success moreover which stop them from bankruptcy during 1932 Warner Bros (Warner Bros, 2010).

    Introduction: The Walt Disney Company is on the threshold of a new era. Michael Eisner has stepped down from his position as CEO and turned over the reigns to Robert Iger. A lot of turmoil has been brewing through the company over the last four years; many people are hoping that this change in leadership will put Disney back on the road to success. Issues began around mid-2002; when declining earnings, fleeing shareholders, and falling network ratings were met with a financial lawsuit against copyrights regarding Winnie-the-Pooh. Then in 2003, Roy Disney (nephew of the creator) resigned from the Walt Disney board. His cited concern was over Eisner’s management style, timidity in investing, unclear succession plan, and a “creative brain drain” of the company. Soon after, Stanley Gold, a longtime financial adviser to the board, followed Roy Disney out the door. Both shareholders were determined to show their muscle to get Eisner out of the CEO chair. While in the other corner were the strategic business partners, Pixar and Miramax, which were frustrated with the unfair treatment and dealings of Eisner. Eisner’s excessive filtering and approval process has affected the employees ability to shine in the realm of creativity. After several years of fighting, Michael Eisner agreed to step down in January of 2005. Eisner left in his wake business partners who were fed up with trying to deal with Eisner’s demands; board members and employees who lost their faith in the ability to have a vision of the future; and customers who were lacking in their support of the Disney brand.…

But Disney will not go quietly. - Forbes, June 4, 1984 Ron Miller, Disney Productions’ CEO reflected on the remarkable events of the past several months. Disney, the symbol of wholesome family entertainment, had become the target of a hostile takeover attempt by a well-known raider, Saul Steinberg. Steinberg now owned 12% of the firm and was threatening to acquire more. While Miller had orchestrated several defensive maneuvers, Steinberg had now announced a public tender offer to purchase 49% of the equity at a price that was a 45% premium over where the stock had been prior to the raid. To fund this purchase, Steinberg was promising to sell the film library and certain real estate assets to outside investors. Steinberg also had a track record of accepting greenmail, having received $47 million just months prior from Quaker State Oil Company. Miller faced a clear dilemma as to how best to respond.
