Memorandum of associatation of Golden Flowers Service Center
A Limited Liability Company

This Memorandum is entered onto the 20-09-2009, and agreed between:
1- Mr. Khalid Abdul Rahman, A UAE national holder of UAEU ID No: 200816874
( Hereinafter referred to as “ First party”)
2- Mr.Musthfa boobcker , a India National holder if UAEU ID no: 200734872 (Hereafter to as “ second party”)
3- Mr.Mahrouf Abdul Kareem, A Nigeria National holder of UAEU ID no: 200734872

Whereas:
A group shall be formed by the signatories of this Memorandum for the purpose of establishing a service Center Limited Liability Company in accordance with the provision of Abu Dhabi Government applicable Laws& Regulations. On the following terms and conditions:

CLAUSE 1: Definitions:
1- In this Memorandum , the following words shall have the following meanings:
1.1 “Hereafter” Collectively means the partners
1.2 “ The company” means the Golden Flowers Service Center Limited Liability Company
1.3 “Government” means the Government of Abu- United Arab Emirates
1.4 “Director/CEO” means the director/CEO of the company appointed pursuant to this Memorandum.
1.5 “The partners” shall means the parties to this Memorandum and any person of legal entity which become the holder of share with limited liability in the capital of the Company in accordance with the terms of this Memorandum.
1.6 “ Month” means calendar month.
1.7 “Year” means the financial year

CLAUSE2: NAME OF THE CIMPANY
The name of this company will be Golden Flowers Service Center LLC ( Limited Liability Company)
CLUASE3: OBJECT OF THE COMPANY
3.1 The group provides services to the business, co-ordinates access to domestic and international financial markets monitor and manage the financial risks relating to the operations of the group through internal risk report which analyze be degree and magnitude of risks.
3.2 To plan formulate and execute projects and manage administrate such projects including shops,
