BUSINESS CONDUCTING AGREEMENT

This Business Conducting Agreement made on this ___ day of ________ 2009.

BETWEEN

Mr/Mrs ________________________________________________ hereinafter jointly referred to as the Owners (which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns) on the FIRST PART

AND

M/S. ___________________________ a Partnership firm incorporated under the Indian Partnership Act, 1932 and having its registered office at _________________________________________________________________________________________ hereinafter referred to as CONDUCTOR’ (which expression shall, unless it be repugnant to the context or meaning thereof, mean and include its successors) on the SECOND Part .

WHEREAS :

A. OWNERS are well and sufficiently entitled to and otherwise seized and possessed _________________________________________forming part of Survey No. __________________________________________in the Registration District ___________________.

B. CONDUCTOR is engaged in the business inter alia of manufacturing -------------------------------------------------- accessories with a brand name of “____________” and is carrying on the retailing business in various cities in India.

C. CONDUCTOR is desirous of operating a retail store at the proposed Showroom ,_____________________________ for retailing of ----------------------- accessories under the Brand name “___________________” and has therefore approached OWNERS to enter into a Business Conducting Agreement.

D. OWNERS has represented that, it is in a position to make available to CONDUCTOR an area admeasuring ___________ sq. ft carpet area on Ground floor in the proposed Showroom at _______________________ as demarcated in red in the attached plan annexed as Annexure ‘B’ for the purpose of conducting the said business of the ______________________ & accessories
