Annual General Meeting :

An annual general meeting (commonly abbreviated as AGM, also known as the annual meeting) is a meeting that official bodies, and associations involving the public (including companies with shareholders), are often required by law (or the constitution, charter, by-laws etc. governing the body) to hold. An AGM is held every year to elect the board of directors and inform their members of previous and future activities. It is an opportunity for the shareholders and partners to receive copies of the company's accounts as well as reviewing fiscal information for the past year and asking any questions regarding the directions the business will take in the future. In an annual general meeting approval of accounts, appointment of directors, declaration of dividend and appointment of auditors is discussed. There are some requisites of a valid meeting. The meeting must be convened by right convening authority. Proper notice and agenda are the main part of it.All these requisites must be reflected in a valid meeting.a short discussion on the requisites of an AGM is given bellow.

Notice:

The statement that contains particulars of holding a meeting is known as notice. It is one kind of request to the members for attending the meeting. The date, time, place and occasionally agenda are informed through this. It may be oral or written. Of course, the acceptability of written notice is much more than oral one in contemplation of law. It is circulated by the proper person of a concern and must be served to the members in due time. The notice must carry the date, time and place of the holding meeting. The notice must contain a list of the topics to be discussed in the meeting. A notice cannot be served to everyone .A notice must be signed by the legal authority.

Agenda:
