ANNUAL GENERAL MEETING

Notice is hereby given that the twenty third Annual General Meeting of the Vodafone Group
Plc will be held at the Taj Vivanta, 46 Race course Street, london- 450031 on Monday
25th August’2013 at 11:00am.
Resolution 1 to 10 will be proposed as Ordinary Resolution, while 11 to 15 will be proposed as Special Resolution. Voting will be done on poll basis. Proxy forms are to be submitted to the Head office on or before 15th August’2013.
The Board recommends a vote for the following Resolutions:
1. To receive, inspect and approve the Balance Sheet as on March 31, 2012 and also to check the Profit and Loss Account for the year ended.
2. To appoint a Company Secretary in the place of Mr. Rajan who is willing to retire.
3. To appoint an Addition Director having a shares of 10000 shares at the rate of
200/share.
4. To appoint Auditors of the Company.
5. To fix the remuneration of the Auditors and Additional Directors of the Company.
“RESOLVED THAT M/s. Radhakrishnan & Associates, Chartered Accountants be and hereby appointed as the Statutory Auditors of the Company and hold office from the conclusion of the Annual General Meeting on the remuneration as fixed by the
Board of directors of the Company.”
SPECIAL BUSINESS:
1. Approval for raising the ceiling limit for foreign investments
To consider and if fit, to pass the following resolution as a Special Resolution:
“RESOLVED THAT such increased limit of the holdings of all foreign entities be subject to such conditions as imposed by the Reserve Bank of India.”
“RESOLVED FURTHER THAT the Board/Committee of the Board of Directors of the Company be and is hereby authorised to accept all such conditions as imposed by the Reserve Bank of India.”

Notes:
1. A member of the Company who is entitled to attend and vote at the meeting, can appoint one or more proxies to attend the meeting and vote instead of the member and the proxy need not be the member of the Company.
