Executive Employment Agreement
Executive Employment Agreement dated March 1, 2013, is between Healthy Hearts Inc., a Michigan corporation (the “Employer”) and Adel Administrator (the “Employee”).
Employer wishes to employ Employee and Employee wishes to work for the Employer in accordance with the terms of this Agreement.
Accordingly, the parties agree as follows:
Article 1. Definitions
1.1 Definitions. As used in this Agreement, the following terms have the meanings set forth below:
1.1.1 ” Salary” means $25,000 per month payable in accordance with Employer’s generally applicable payroll practices for employees with similar responsibilities. 1.1.2 “Employment Term” means the 3 year period beginning on April 1, 2013 and ends on March 31, 2016.
Article 2. Employment
2.1 Employment. Subject to the terms of this Agreement, the Employer shall hire the Employee and the Employee shall work for the Employer for the Employment Term.
2.2 Salary. The Employer shall pay the Employee the Salary during the Employment Term, in accordance with the Employer’s generally applicable payroll practices for employees with similar responsibilities.
2.3 Job Title. The Employer shall employ the Employee as its Chief Executive Officer during the Employment Term.
2.4 Duties. The Employee shall perform all the duties including but not limited to those customary for an officer of a corporation holding the office of Chief Executive Officer during the Employment Term.
Article 3. Representations and Warranties of the Employee
The Employee represents and warrants to the Employer as follows:
3.1 Holistic Employment 3.1.1 Employment. The Executive and Holistic are parties to the Employment Agreement, dated February 1, 2011 (the “Holistic Agreement”). In accordance with the Holistic Agreement, Holistic employs Executive as executive vice president. The term of that employment ends on March 21, 2014. 3.1.2
