Re: Angela Woodside vs. Doyle Construction

1. Has Doyle Contractors breached its contract with Angela Woodside? Explain your answer fully. 2. Does Ms. Woodside have to wait until after April 1, 2008 to sue Doyle Contractors for breach of contract? Explain your answer fully. 3. Assuming a breach of contract has or will occur, what remedies does Ms Woodside have after the breach? 4. What defenses might Doyle Contractors raise in the event it is sued by Ms. Woodside? 5. Ms. Woodside has stated that a farmer has approached her about taking over the mortgage payments for Doyle Contractors and receiving title to the land. Explain the contract principle(s) that would apply to such an arrangement, whether it would need to be in writing and whether you would need approval from Doyle Contractors. 6. If Ms. Woodside were to permit a farmer to take over Doyle Contractor’s mortgage payments, please draft a contract clause for the agreement between the farmer and Ms. Woodside that would protect Ms. Woodside should the lands zoning be changed once again.

I believe that Doyle construction has breached the contract with Angela Woodside. Ms. Woodside provided owner financing by accepting a down payment of $100,000. Doyle Contractor agreed to pay Ms. Woodside $400,000 installments over (10) years. Doyle contractors have a duty to Ms. Woodside. She did not know that the Ohio Board of Agriculture was going to designated part of the land solely for Agriculture use.
I believe that Ms. Woodside does not have to wait until April 1, 2008 to sue Doyle Contractors for breach of contract. When Ms. Woodside was notified that Doyle Contractors intended to stop making monthly payments for the land after April 1, 2008, she needed to see a lawyer.
I believe that the remedy Ms. Woodside has is to look for another buyer or sell to the farmer. If some of the land is going to be use for

The remedies for breach a general law duty include an injunction, compensation or damages, an account of profits, rescission of a contract, and a constructive trust. Firstly, the company can seek an injunction, which is an order of the court requiring the director to stop doing something or to undertake a particular action, in this case, EY can terminate the contract. Secondly, in this case, even though EY has not yet suffered any loss or damage, the court can still order the director to pay any profit the director made because of the breach of duty to the company. The director will have to account for the profit of commission to the company.(Regal(Hastings) Ltd v Gulliver) Thirdly, a director can breach their duty to the company if the director enters into a contract with the company and the director's interest in the contract is not disclosed. If the court finds that there has been a breach of duty, the court can order the contract to be rescinded. In this case, Roberta did not disclose her interest gained from WHS in the contract properly, there should be a rescission of the contract. However, EY makes large profits from the contract, they may not want to rescide it.…

I, am writing this letter which is agreed upon by my siblings Paul Ray Davidson and Debbie Bohannon as evidence by all three of our signatures at the end of this letter. The purpose of this letter is to seek the courts approval for the sale of my father, Paul Junior Davidson’s house located at 1125 Northway Drive, Semmes, Alabama. There is a buyer for the home, should your approval be granted, for fair market value. Should you grant the sale of the home in Alabama, the proceeds would then immediately be used to purchase a house which is under contingent contract here in Texas. The house in Texas is at 1207 Bayou Glen Drive, La Porte, Texas and is further described as an updated, single story, single-family brick and veneer house consisting of two bedrooms, one bathroom (which has handicapped accessible shower), kitchen and living room. We feel that it not only in the best interest of both of our parents to be here in Texas, it is really even a matter of their well-being for their remaining years. The following paragraphs will document, in detail, just some of the facts that we base our beliefs on.…
